Marvell optical networking expansion is taking shape through a proposed $115 billion acquisition of Lumentum. The all-stock agreement would combine Marvell’s custom semiconductor business with Lumentum’s advanced laser and photonics technologies.
Under the announced agreement, Lumentum shareholders will receive 4.5 Marvell shares for each share they own. The transaction carries an equity value of approximately $80 billion, as The Wall Street Journal reported.
Marvell Optical Networking Expansion Targets AI Data Centers
Marvell develops custom processors, networking chips and electrical interconnect technology. Lumentum manufactures high-performance lasers, optical transceivers and components used for high-speed data transmission.
Combining these technologies would allow Marvell to offer more integrated connectivity systems for AI infrastructure. Optical connections can transfer large volumes of data while addressing some physical limitations of traditional copper-based networking.
Demand for faster communication between AI processors has also encouraged investment in AI networking technology. Marvell expects the acquisition to strengthen its position in this market.
Nvidia’s $4 Billion Investment Across Both Companies
Nvidia invested $2 billion in Lumentum in March through a strategic partnership supporting advanced laser development and U.S. manufacturing expansion.
Later that month, Nvidia announced a separate $2 billion investment in Marvell. The companies agreed to collaborate on custom AI processors, NVLink Fusion networking and silicon photonics.
Marvell estimates the combined company could address a $550 billion AI connectivity market. It also expects more than $1 billion in annual cost savings, although those benefits remain projections.
The acquisition is expected to close in the first half of 2028, subject to shareholder and regulatory approvals. Marvell CEO Matt Murphy will continue leading the combined company if the transaction is completed.
