London Stock Exchange Group (LSEG) has agreed to acquire credit intelligence provider Octus for $3.535 billion in cash. The LSEG Octus acquisition will expand the group’s financial data business, particularly in private and distressed credit markets. The agreement was announced on October 22, 2026.
LSEG is buying Octus from funds advised by private equity firm Permira and members of Octus management. The transaction is expected to close in the first half of 2027, subject to regulatory approval. The companies confirmed the terms in LSEG’s official announcement.
Why LSEG Is Buying Octus
Octus provides credit intelligence, financial data and research tools to banks, investment firms, law firms and financial advisers. Its services cover leveraged finance, private credit and distressed debt. These markets often involve complex financial arrangements and hard-to-access information.
The company collects credit documents, analyzes financial agreements and converts information into searchable data. Customers use its products to assess investment risks, research borrowers and monitor portfolios. Octus also provides specialized tools for credit investors.
LSEG already operates established fixed-income products, including Yield Book and LPC. Adding Octus would extend that coverage into less liquid markets. The combined services could help customers analyze public and private credit through a more integrated platform.
LSEG Octus Acquisition Expands Private Credit Services
Octus serves approximately 750 institutional customers and more than 40,000 individual users. Its customer base includes hedge funds, alternative investment managers, banks and advisory firms. The company employs more than 900 people worldwide.
Institutional investors have shown growing interest in private credit as an alternative to traditional lending markets. Financial institutions increasingly require detailed information about borrowers, loan agreements and portfolio exposure.
The trend also reflects broader demand for private-market investment opportunities. TechAmerica.ai previously examined how family offices are expanding private investments, including exposure to alternative assets.
LSEG believes Octus can strengthen its position in this market. It plans to combine the company’s proprietary information with its existing analytics and distribution services. The goal is to support investment decisions across the credit lifecycle.
Octus Revenue and Deal Valuation
Octus is expected to generate more than $300 million in revenue during 2026. LSEG also estimates an adjusted EBITDA margin of approximately 40%. The business has recorded double-digit compound annual revenue growth since 2022.
Permira acquired Octus in 2022 and supported its expansion through technology investments and acquisitions. According to Permira’s announcement, the company’s annual recurring revenue more than tripled during its ownership.
The purchase gives LSEG access to established subscription revenue and specialized credit intelligence. However, the $3.535 billion valuation also underscores the need to maintain growth and retain customers. The financial benefits will depend partly on successful integration.
Financial Impact and LSEG’s Growth Strategy
LSEG expects Octus to contribute immediately to organic revenue growth in its Data & Analytics division. The acquisition should also support its group subscription revenue growth target of approximately 7% in 2027.
The company plans to finance the purchase through external debt. It expects no effect on adjusted earnings per share in the first full year after completion. Management anticipates a positive contribution in subsequent years.
The agreement follows another significant transaction involving LSEG’s majority-owned subsidiary, Tradeweb. Tradeweb has agreed to acquire electronic credit trading platform Trumid for approximately $1.75 billion on a net purchase price basis.
Both transactions support LSEG’s strategy of expanding its fixed-income data and trading services. In its third-quarter trading update, the company also raised its full-year financial guidance. Management cited stronger business performance and growing demand for subscription services.
What Happens After the Acquisition?
Once the transaction closes, Octus will join LSEG’s Data & Analytics division. Founder and CEO Kent Collier will continue running the business. He will report to division co-heads Gianluca Biagini and Ron Lefferts.
LSEG plans to develop integrated products using Octus data alongside Workspace, Yield Book, LPC and other services. These tools could provide customers with more consistent information across fragmented credit markets.
The acquisition also supports LSEG’s efforts to expand artificial intelligence applications in financial research and analytics. Octus already offers access to its information through AI workflows and connected systems.
Regulatory approval is still required before the deal can close. If completed as planned, the acquisition will broaden LSEG’s credit intelligence business and strengthen its subscription-based financial data operations.
