OpenAI-Backed Thrive Holdings to Acquire ADT in $15.3B Deal

Thrive Holdings, an investment firm partnered with OpenAI, has agreed to acquire home security company ADT for $10 per share. The all-cash transaction has an enterprise value of $15.3 billion and aims to expand ADT’s smart home security technology.

An agreement for Thrive Holdings to acquire ADT values the home security company at $15.3 billion, including debt. The OpenAI-backed investment firm will pay $10 per share, valuing the equity at about $7.6 billion.

The companies announced the all-cash transaction Thursday. The offer represents a 45.6% premium to ADT’s closing share price on October 27. ADT will become privately held once the acquisition is completed.

Thrive Holdings to Acquire ADT and Expand Smart Home Security

Josh Kushner’s Thrive Capital established Thrive Holdings to acquire established businesses and improve their operations through technology. The firm currently owns more than 75 companies across several industries.

OpenAI is both an investor and technology partner, providing AI models and engineering teams to support portfolio companies. The partnership reflects Thrive’s broader investment strategy of introducing AI into traditional businesses.

ADT will form the foundation of Thrive Holdings’ smart home security operations. The company plans to invest in new products, technology, and customer services, though it has not announced specific AI-powered devices.

Thrive also said ADT’s existing data privacy policies will remain unchanged. Customer information will not be shared for new purposes without permission.

Competition Grows in AI-Powered Home Security

The acquisition comes as major technology companies expand their smart home offerings. Apple recently introduced its Home Collection, featuring security cameras, smart locks and connected home accessories developed with LG and Schneider Electric.

Amazon has also expanded its Alexa device lineup, including an Echo Studio speaker with a built-in camera and AI-powered visual recognition.

ADT’s nationwide security network gives Thrive an established platform to develop new services. However, neither company has detailed how AI will change its products or monitoring operations.

The acquisition is expected to close in the first quarter of 2027, subject to shareholder approval and U.S. antitrust clearance.
